Important: Gemslinks will not start purchase assistance, receiving, packing coordination or shipment handling until the Customer has approved the relevant service scope, accepted these terms in writing and completed any payment required before that service step.
These Service Terms and Conditions apply to the Japan Small Parcel Purchase & Export Service provided by Gemslinks Co., Ltd. ("Gemslinks", "we", "our" or "us") to the customer ("Customer", "you" or "your"). These terms apply together with the relevant quotation and written confirmation.
1. Service Scope and Gemslinks' Role
Gemslinks provides Japan-side support for eligible small parcel purchase and export shipments. Depending on the approved quotation, the service may include pre-purchase review, purchase assistance, domestic receiving, basic item or package confirmation, packing or repacking coordination, international shipment arrangement by EMS, DHL, FedEx, UPS or another available carrier, and tracking information sharing.
When purchasing an approved product, Gemslinks acts as a purchase and shipment support provider on the Customer's instructions. Gemslinks is not the manufacturer, original seller, destination-side importer or customs authority.
Unless separately agreed in writing, Gemslinks does not provide professional inspection, authenticity or quality guarantees, functional or safety testing, seller warranty handling, import approval, customs clearance, duty or tax guarantees, delivery-date guarantees or compensation beyond applicable carrier or third-party terms.
Goods already purchased by the Customer may be reviewed only if they remain with a supplier or seller in Japan. Goods already in the Customer's possession will generally be reviewed under the Japan Personal Belongings & Used Goods Export Service.
2. Customer Information and Prior Approval
The Customer must provide accurate, complete and truthful information, including the product, seller, quantity, value, condition, brand or model, materials or ingredients, regulated components, destination, recipient, intended use, preferred shipping method and any known import requirements.
The Customer must not send goods to Gemslinks without prior written approval. Unapproved, unclear, high-risk or incorrectly described goods are outside the standard service scope.
If information is incomplete, incorrect, ambiguous or misleading, or goods arrive without approval, Gemslinks may request further information, suspend or decline handling, require re-quotation, or store, return, transfer, reship, dispose of or otherwise handle the goods in accordance with Sections 7 and 9, at the Customer's cost where attributable to the Customer or the goods.
3. Prohibited and Restricted Items
Gemslinks does not handle illegal, prohibited, counterfeit, stolen, sanctioned, unclear or unacceptable high-risk goods, or goods that cannot be accepted under applicable laws, export or import regulations, carrier rules or payment-provider policies.
Items generally not accepted include weapons and ammunition, illegal drugs and controlled substances, certain medicines and medical products, dangerous or flammable goods, explosives, cash and negotiable instruments, sexually explicit goods, certain live animals, plants and animal- or plant-derived goods, CITES-controlled goods and goods involving restricted parties or destinations.
Food, cosmetics, liquids, powders, supplements, lithium batteries, electronics, luxury or branded goods, medical or hygiene products, leather, wood, fragile goods, used goods, auction purchases and items requiring permits are subject to careful prior review. Legal purchase in Japan does not guarantee exportability, carrier acceptance or importability.
4. Quotation, Payment and Additional Costs
Services are provided on an individual quotation basis. Charges may include product cost, domestic delivery, Gemslinks service and purchase support fees, receiving and handling, packing or repacking, international shipping, document or regulatory review and other approved or actual costs.
Purchase-related amounts are generally payable before purchase. Other payment timing will be stated in the quotation or written confirmation. Gemslinks is not required to purchase, receive or ship goods before approval, acceptance of these terms and applicable payment.
Quoted costs may change because of seller price or stock changes, domestic delivery, payment fees, actual or volumetric weight, carrier surcharges, remote-area charges, regulatory requirements, special packing, storage, return, reshipment or disposal.
Significant additional costs will be submitted for approval whenever reasonably possible. Third-party costs relating to the Customer's request or goods are the Customer's responsibility, except to the extent directly caused by Gemslinks' negligence, wilful misconduct, unauthorised action or material failure to follow approved instructions. Gemslinks will provide reasonable supporting information where available.
5. Review, Confirmation and No Guarantees
Any preliminary review, quotation, acceptance, purchase assistance or basic confirmation is based on the information available at that time and does not guarantee export permission, carrier acceptance, import approval, customs clearance or delivery.
Final feasibility may change after purchase or receipt because of the actual item, package condition, size and weight, carrier rules, customs requirements, destination-country regulations, safety information, SDS, manufacturer statements or required documents.
Basic confirmation may cover visible quantity, item name, labels and outer package condition where reasonably possible. It is not a professional inspection, authenticity review, quality check, functional or safety test, legal conformity review or suitability guarantee. Photo or opening confirmation may be available as a paid option.
6. Customs, Import and Carrier Rules
The Customer, recipient or importer is responsible for destination-side import requirements, permits, registrations, duties, taxes, VAT, GST, inspections, customs charges and compliance obligations unless specifically included in the quotation.
Shipments are subject to the relevant postal operator, courier, carrier, airline, logistics provider and other third-party terms, limits and compensation rules.
Gemslinks is not responsible for delay, damage, loss, hold, return, seizure, disposal, delivery failure or additional charges to the extent caused by carrier or seller actions, customs or government decisions, destination restrictions, information provided by the Customer, recipient failure, force majeure or other events beyond Gemslinks' reasonable control.
Gemslinks may provide practical coordination where possible, and additional approved service fees and actual costs may apply.
7. Goods Hold, Storage and Disposal
Gemslinks may withhold shipment, delivery, return or reshipment until all applicable fees, shipping charges, advances and third-party costs have been paid in full.
The applicable free storage period and storage charges will be stated in the quotation, invoice or written notice. If required instructions, documents, payment or responses are not provided, Gemslinks will normally request action within 14 calendar days.
After the stated period, Gemslinks may store, return, transfer, reship, dispose of or otherwise reasonably handle the goods in accordance with applicable laws, carrier rules and practical requirements, at the Customer's cost. A shorter period may apply where reasonably required for safety, deterioration, legal or regulatory requirements, carrier or storage-provider deadlines or rapidly increasing third-party costs.
By accepting these terms, the Customer authorises these actions to the extent permitted by law. Gemslinks will not dispose of goods before the applicable notice period expires unless immediate action is reasonably required.
8. Cancellation and Refund
Before purchase, cancellation may be possible after deducting completed work and already-incurred costs. After purchase, product cost, domestic shipping, purchase support, seller, payment and other incurred costs are generally non-refundable.
If Gemslinks makes an incorrect or unauthorised purchase outside the Customer's approved scope, Gemslinks will take reasonable steps to arrange correction, return, replacement or refund, subject to the seller's policy, product availability and the limitation of liability set out in Section 11. This does not apply where the Customer provided incorrect, incomplete, ambiguous or misleading information or approved the relevant item, quantity or variation.
If a seller return is possible, return shipping, handling, seller, payment, bank and related costs are generally borne by the Customer unless caused by Gemslinks as stated in Section 4.
Refunds will be processed within 10 business days after Gemslinks receives any corresponding third-party refund and confirms the refundable amount and deductions. Actual credit timing depends on financial institutions and payment providers.
If Gemslinks cancels an accepted request for reasons not attributable to the Customer or the goods, Gemslinks will refund unused amounts after deducting completed services, amounts already paid to third parties, unrecoverable reasonable third-party costs and actual refund or payment charges. Gemslinks will not charge a separate cancellation penalty, but may charge reasonable costs necessarily incurred in closing or handling the request.
Cancellation and refund are generally unavailable after international shipment, subject to applicable carrier compensation rules and rights that cannot legally be limited.
9. Compliance and Refusal Right
Gemslinks may refuse, suspend or cancel a request involving prohibited or restricted goods, unclear information, sanctions, fraud, payment, legal, customs, carrier, reputational or other unacceptable risk.
Gemslinks may request additional documents or evidence, including photos, specifications, SDS, ingredient lists, manufacturer or seller information and permits. Failure to provide requested information may result in suspension or refusal.
Where refusal, suspension or cancellation is attributable to the Customer or goods, completed service fees and incurred costs remain payable. Otherwise, unused amounts will be handled under Section 8.
10. Claims and Supporting Evidence
The Customer must notify Gemslinks in writing of any visible shortage, incorrect item, package damage or other apparent issue within 7 calendar days after delivery, or within any shorter period required by the relevant carrier or provider.
The Customer must retain the goods, outer packaging, labels, packing materials and documents and provide reasonable photographs or other evidence requested for investigation or a compensation claim.
Late notice or insufficient evidence may prevent investigation or recovery from the relevant provider. This does not limit rights that cannot lawfully be limited.
11. Custody and Limitation of Liability
Gemslinks will exercise reasonable care while goods are in its custody. Gemslinks is not responsible for deterioration, leakage, corrosion, battery discharge, latent defects, ordinary wear, temperature or humidity sensitivity, inherent characteristics, insufficient original packaging or pre-existing conditions, except to the extent caused by Gemslinks' negligence.
To the extent permitted by law, Gemslinks is responsible only for direct and reasonably foreseeable loss actually caused by its breach, negligence or failure to follow approved instructions. Gemslinks is not responsible for indirect, incidental, special or consequential loss, including lost profit, business, opportunity, anticipated savings or reputation.
Except in cases of Gemslinks' wilful misconduct or gross negligence, Gemslinks' total liability for each transaction will not exceed the lower of the actual direct loss or the total amount paid by the Customer to Gemslinks for the affected transaction, including product cost paid through Gemslinks.
For loss caused by a carrier or third-party provider, that provider's applicable compensation rules and limits apply. Nothing in these terms excludes liability that cannot lawfully be excluded.
12. Governing Law and Applicable Version
These terms and each transaction under them are governed by and interpreted in accordance with the laws of Japan. Nothing in these terms excludes or limits rights or protections that cannot lawfully be excluded or limited.
If any provision is invalid or unenforceable, the remaining provisions remain effective.
The version applicable to a transaction is the version referenced in Gemslinks' quotation email, quotation document or written confirmation when the Customer approves the request. If a translation is provided, the English version prevails unless otherwise agreed in writing.
13. Customer Confirmation and Acceptance
By approving the quotation or request, the Customer confirms that the Customer has reviewed and accepted the quotation and these terms; provided accurate information; has not requested handling of prohibited, illegal, counterfeit, restricted or unclear goods; understands the service limitations and lack of shipment, customs, product or delivery guarantees; accepts applicable third-party and incurred costs; and will not send goods without prior approval.

After approval, Gemslinks may send a payment link, payment instructions or other written confirmation. Approved work will begin after applicable payment is confirmed, unless otherwise agreed in writing.
